1ST MEETING OF PROMOTERS OF GACN’S SUCCESSOR COMPANY

GACN’s revised mandate in accordance with the Petroleum Industry Act (“PIA”) and the Ministerial Directive from the Honourable Minister of State for Petroleum Resources, requires, amongst others, the dissolution and re-registration of GACN from “limited by shares” to “limited by guarantee” based on a revised mandate, ownership and Board composition. In line with this, a meeting was convened as the first meeting of the Promoters of the soon to be established successor company, to bring all stakeholders in alignment on the next steps for the re-registration of the current GACN in compliance with the PIA and the Ministerial Directive on GACN’s mandate and structure.

The meeting was held on 19th January 2023 at Transcorp Hilton, Maitama, Abuja and was well attended with representatives from across the gas value chain, i.e. upstream (comprising of both international and national oil and gas companies), midstream and downstream players.

Participants were provided with a comprehensive description of the initiatives currently being undertaken by GACN and were guided on further gas-related opportunities across the value chain – upstream, midstream, and downstream with an emphasis on the transition from the existing GACN to the successor company in line with its revised mandate, while aligning on steps to achieving the objectives of the PIA and the Ministerial Directive.

The meeting concluded with participants expressing their enthusiasm to collaboratively achieve the objectives of the PIA as it relates to the successor company to GACN.

GACN ATTENDS RMAFC BAUCHI RETREAT

The Gas Aggregation Company Nigeria (“GACN”) attended a gas sensitization retreat organised by Revenue Mobilization Allocation and Fiscal Commission(“RMAFC”) in Bauchi state at the Lt. Gen Y.T Buratai Conference Hall at the command guest house from Tuesday,15th November to Friday, 18th November 2022. The theme of the retreat was “NATURAL GAS AS A PANACEA FOR ECONOMIC GROWTH AND INDUSTRIAL DEVELOPMENT”.

Hon. Patrick Mgbebu, Chairman, Gas Monitoring Committee (GMC) opened the retreat by emphasising the need to enlighten members to fully understand the gas sector so as to contribute to nation building.

The Executive Governor of Bauchi State, was ably represented by Senator Baba Tela, who drew the attention of the Commission to intervene on one of the Kolmani River oil wells which is at the boundary of Bauchi and Gombe States. He requested that the dispute be resolved by the National Boundary Commission (NBC) and the Commission more amicably. He added that the State would soon establish an oil service company which will make the indigenes of the State benefit.

GACN represented by Dantala Wright and Ruqaiyah Saidu Abubaker presented a paper titled GAS UTILISATION EXPANSION FRAMEWORK AND OTHER GAS SECTOR OPPORTUNITIES to further buttress the commercial opportunities, collaboration and engagement GACN have created over the years in the domestic market, which have laid the foundation for the AKK states and GACN to collaborate on certain gas engagement utilisation to the various states, bearing in mind the post PIA mandates.

The following five (5) papers were presented at the retreat:

  1. Bauchi State’s Oil and Gas Development Plans Vis-a-vis the Exclusivity of the Sector by Hon. Aminu Hammayo (Magatakardan Misau), the Bauchi State Commissioner Ministry of Budget and Planning;
  2. Harnessing Nigeria’s Proven Gas Reserve for Economic Development by Engr. Joseph Ogunsola (NUPRC);
  3. Harnessing Nigeria’s Flare Gas for Economic Growth and Development, by Engr. Gbenga Komolafe (NUPRC);
  4. Gas Utilisation Expansion Framework and other Gas Sector Opportunities by Dantala Wright (GACN);
  5. Blocking Revenue leakage from the Gas Sector by Dieter A. Bassi, PHD(NEITI)

Following the presentations made, observations were discussed and analyzed. The following were observed:

  1. Nigeria has the highest proven gas reserves in Africa.
  2. In harnessing the abundant gas resources for enhancing domestic gas utilization and revenue generation, the following initiatives are used; Nigeria Gas Master Plan, 2008; National Gas Policy of 2017; Natural Gas Expansion Programme of 2020 and; Petroleum Industry Act (PIA), 2021;
  3. NNPC returned to start drilling exploratory wells in the Gongola basin in May 2018 which led to the appraisal of Kolmani River discovery field;
  4. One of the reservoirs was perforated in 2019 and crude oil started flowing to the well head thereby the gas component was flared to prevent air charge around the rig; and the 3-tiers of Government as well as private individuals can invest in the sector;

Bauchi State is aware of exclusivity of the oil and gas sector as enshrined on the second Schedule, Part I, Constitution of the1999 Federal Republic of Nigeria; which states that the Institutions that are willing to collaborate with the investors in the gas sector to drive the diversification process are: RMAFC, NNPC Ltd, NGMC, CBN, B.O.I, GACN etc.

That there are ongoing projects nationwide that would enhance domestic Gas market development and facilitate an additional power generation capacity e.g. AKK project will inject 2.2Bscf/d of gas/3,600MW;

That the Gas sector is being faced with a lot of challenges such as inadequate statistical data on gas resources in Nigeria, lack of political will in implementing laudable and viable economic policies and programmes, by successive administrations/managers.

Recommendation were also made and pointed out the following:

  1. The utilization of the nation’s gas resources should be top priority at all levels of the state’s government. Bauchi State, where crude oil and gas has been recently discovered and the private sector which would enhance in driving the diversification process and growth of the national economy.
  2. That there is the need for both the Federal and State Governments to intervene in mobilizing financial resources by ways of loans, subsidies and other supports to boost investment in the gas sector given the huge financial outlay required for gas projects.
  3. The State should collaborate and engage with critical stakeholders for increased domestic gas market penetration and utilization. Such stakeholders include GACN, NEPZA, NCDMB, NGC, MAN, NSE, NRC, NPA, Road Transporters, Financial Institutions, etc.
  4. The State should take note and reflect on the industry reforms that transformed the legal, regulatory, institutional and fiscal framework of the industry which further led to the enactment of the Petroleum Industry Act (PIA) 2021 in order to drive Nigerians and sub nationals’ journey as an oil and gas industrial based economy.

GACN at COP27

The Gas aggregation company Nigeria (“GACN”) attended 27th Conference of Parties (the COP27), of the United Nations Framework Convention on Climate Change in International convention center Sharm el-Sheikh Egypt from November 10 through November 18, 2022. The events featured panels and discussions around components of a transformative energy future, challenges, and opportunities for just energy transitions. The conference was organized in collaboration with the Federal Ministry of Environment who are charged with outlining a course for decarbonizing the energy sector.

GACN represented by a team made up of Omosigho Egbon, Maryam Saleh, Oche Agbese, Olawale Olaluwoye and Mercy Akomolede, participated in the conference, and presented a paper titled “Gas as a Transition Fuel and its Progress in Supporting the Nation’s Energy Transition Plan Thus Far.” an event organized for the Energy Day, dedicated to dealing with all aspects of energy and climate change, including renewable energy and energy transformation, with a specific focus on just transition in the energy sector and green hydrogen as a potential energy source for the future.

The objectives of providing the combined benefit of reducing carbon dioxide emissions while also enhancing socioeconomic conditions and assisting in the accomplishment of the sustainable development goal, also the energy transition model, where it focuses on gas flare commercialization for the power sector, gas-based industries, the Auto gas initiative, and providing virtual solutions were highlighted and discussed.
The team also talked about its carbon trading and carbon offsetting solutions in collaboration with Pact Capital and AEONX solutions, with the aim to encourage and facilitate the much-needed transition and paradigm shift towards a low-carbon economy.

GACN in its quest to encourage and promote the energy transition is voluntarily offsetting its carbon emissions and plans to be carbon neutral in order to promote carbon neutrality.

NNPC TRANSITION- A NEW DAWN FOR A NEW ERA

The Gas Aggregation Company Nigeria Limited (“GACN”) attended the official transitioning of the Nigerian National Petroleum Corporation (“NNPC”) into a limited liability company on Tuesday, 19th July 2022 at the banquet hall in Abuja, attended by the acting MD, Mr. Chijioke Uzoho. President Muhammadu Buhari while formally unveiling the new NNPC emphasized that he was privileged to sign the PIA in 2021 and the transformation of the Petroleum Industry will strengthen the growth of the new company. The leadership of NNPC and other dignitaries were all in attendance. The Minister of State for Petroleum Resources, Mr. Timipre Sylva in his speech said, the new NNPC is a new vintage for partnership while the CEO Mallam Mele Kyari added that the new company would be managed like a private sector enterprise and is expected to become more efficient in its operations.

NNPC was established on 1st April 1979 under the statutory-decree No 33 by a merger of Nigerian National Oil Corporation (“NNOC”), with its operational functions and the Federal Ministry of Mines and Power with its regulatory responsibilities. NNPC is a major player in both the upstream and downstream sectors. Its products include crude oil, gas, petroleum products and petrochemicals, products transportation as well as marketing.

On 16th August 2021, the (Petroleum Industrial Bill) PIB was signed into law which became PIA (Petroleum Industrial Act), the PIA is an act that will regulate the oil and gas sector. It will lead to a drastic transformation in the sector by attracting huge investment and collaborations within the sector.

The Nigerian National Petroleum Corporation on 19th July 2022 was formally unveiled as Nigerian National Petroleum Company Limited by President Muhammad Buhari, which means the status of the corporation has changed and it will be run as a limited liability company, whose operations will run in compliance with the provisions of the companies and the Allied matters act (2020).

The transition indicates among others but is not limited to:

  • The new NNPC will be a commercial entity thereby having new operational structural changes and transformation.
  • It will be a profit-driven entity, by providing a more productive fiscal, commercial and regulatory framework to support competition and investment by creating a fully commercial entity.
  • The new NNPC will declare dividends to its shareholders and retain 20% profit which means the Nigerian populace can also invest in the company.
  • The new structure of the company will strengthen and boost the interest and confidence of investors while attracting foreign direct investment to the energy sector.
  • It will Increase the revenue of the Federal Government by paying its share of all fees, royalties, oil shares and taxes.
  • The new NNPC will list its shares on the stock exchange mid 2023 according to its Group Chief Executive Officer Mallam Mele Kyari.
  • The new company will no longer bear the burden of petroleum subsidy but will continue to support in supplying petroleum products to the Federal Government at a commercial value.
  • The new company will be IPO (Initial public offer) ready which means that you have the system processes and a company that can account to its shareholders and stakeholders.
  • As a commercial entity, the company will no longer contribute to the Federal account but pay taxes and royalties to Federal Government and divided to shareholders and deliver value to 200 million shareholders.
  • The new company will be free from institutional regulations such as treasury single account.
  • The new NNPC is incorporated under the Companies and Allied Matters Act to be known as NNPC Limited.

 

Gas Aggregation Company Nigeria (“GACN”) in line with its new objectives and mandates is also on its way to transitioning in to a limited liability company, with a change in its operational and structural changes to reflect the change. GACN can leverage on and replicate its major shareholder and stakeholder, NNPCL in its transitioning phase within it space and limitations, there by having more value-added commercial engagement and partnership with the new NNPC.

NIGERIAN OIL AND GAS CONFERENCE 2022

The Nigerian Oil and Gas Conference in its quest to actualise the energy revolution in the country in the “DECADE OF GAS” once again has captured the way forward to level up with the energy sector in terms of engagement and collaboration. The 21st edition of the (“NOG”) conference themed “Funding the Nigerian Energy Mix for Sustainable Economic Growth” took place from 4th July through 7th July 2022 and was held at the International Conference Centre Abuja. In attendance were notable figures in the Oil and Gas industry in Nigeria including, The Group Managing Director NNPC Mallam Mele Kyari, Managing Director and Chief Executive TotalEnergies SE Mr. Mike Sangster, the Chairman and Managing Director Chevron Nigeria/Mid African Business Unit, Mr Richard Kennedy were all distinguished stakeholders that attended and participated in sessions to deliberate on issues and prospect of the industry.

Gas Aggregation Company Nigeria Limited (“GACN”) was represented by the acting MD, Chijioke Uzoho who attended the event and actively took part in brainstorming on issues bothering the industry that need urgent attention, for more business opportunities and partnerships for sustainable economic growth.

The conference involved a more robust and integrated discussions by stakeholders, investors, and industry leaders and the entire oil and gas professionals. Issues around the oil and gas industry was elaborated and challenges, obstacles, solutions and resolutions were discussed and agreed upon.

2ND WEST AFRICA LPG EXPO AND NLPGA SUMMIT 2022

As an ardent advocate of the Decade of Gas, the Gas Aggregation Company Nigeria (“GACN”) attended a summit on Thursday, 23rd June, and Friday, 24th June 2022 at Balmoral Convention Centre, Federal Palace Hotel Lagos hosted by the Gas Academy and the Nigeria LPG Association (NLPGA) with the theme “ENERGISING THE FUTURE: LPG AS A SUSTAINABLE FUEL IN AFRICAN ECONOMIES”.

To further deepen GACN’s Gas penetration and commercialization in the domestic market, the conference offered valuable insights into the LPG market while highlighting the key challenges in the sector. GACN also had the chance to network with LPG experts across the value chain. 

Furthermore, Nigeria with an average annual growth rate of more than 20% over the past 10 years, has one of the fastest growing LPG markets and is also one of the largest markets for new LPG cylinders and equipment. Industry players, financiers, stakeholders, and a host of others graced the event while giving a brainstorming session, in particular experts made presentations as such:

Mr. Nuhu Yakubu, President of the Nigerian LPG Association and MD Banner Energy Ltd specified that (NLPGA) LPG penetration will rise from the current 7.5 cylinders per year to 10 million cylinders per year.

The Deputy Managing Director of NLNG, Mr. Lekan Ogunleye stated that NLNG is a great supplier of the Decades of Gas. Until the advent of NLNG, the Nigerian LPG market was mainly supplied by refinery production and imports. He added, that in 2007, NLNG commenced LPG allocation for the domestic market supply with 50,000MT/annum, and in 2008, it increased to 150,000MT/annum. Since then, there has been a steady increase in NLNG’s LPG allocation to the domestic market. As of 2020, NLNG supplied about 40% (450,000mt) of its LPG production to the domestic markets and has now decided to supply 100% of its LPG production to the Nigerian market, reducing LPG exports. He further stated that NLNG is committing 89.2b to the development of the Bonny Road linking to the plant and that NLNG is making financial commitments for the renovation of 3 jetties in Nigeria. He however acknowledged the challenges facing the LPG Industry in Nigeria:

  • Industry-inadequate infrastructure.
  • A lack of storage facilities.
  • Limited local production capacity.
  • Mismatches in the demand and supply for LPG.

The Chairman of the Natural Gas Expansion Program (NGEP) Dr. M.M Ibrahim emphasized that NGEP was established to help better the utilization of gas and its development in the domestic market, with the major objective to expand gas supply by utilizing all the assets and resources, adding that Nigeria should be classified as an Oil and Gas Exporting Nation as we export 42% of gas through NLNG.

The CEO of National Petroleum Authority (NPA) Ghana, Dr. Mustapha Abdulhamid gave a brief that Ghana started using LPG in 1990. He went further to add that there has been a steady movement to promote gas penetration by the Federal Government.

The rise of LPG in Ghana, according to him prompted its neighbors from Burkina Faso and Mali to come to Ghana for LPG offtake but the promotion of LPG came with additional risks of explosion and the Federal Government banned all future expansions in the LPG market due to a recent explosion in 2017, which resulted in the LPG penetration in Ghana to stall considerably.

Engineer Simbi k. Wabote the Executive Secretary of NCDMB; also had this to say that NCDMB has a goal to develop strategies for organic penetration to make Energy Sources available, accessible, acceptable, and affordable before 2030.

The event was graced by the former President of Nigeria, Chief Olusegun Aremu Obasanjo who gave a keynote speech about the policy he initiated in 2005 during his tenure which states in a nutshell that the international oil companies and gas producers in Nigeria, rather than export all the gas should commit a certain volume to the domestic market. It was on the premise of this policy that the Domestic Gas Supply Obligation (DSO) was implemented.

Chief Olusegun Aremu Obasanjo also encouraged other Oil and Gas majors to remain committed and look at how to develop the local liquefied petroleum gas sector as a way of showing appreciation to a country in which they have benefited enormously.

Notwithstanding, there are some major challenges in the Nigerian LPG markets:

  • Inconsistencies in regulations and their interpretations across states.
  • Infrastructure deficit,
  • Limited and inadequate LPG receiving terminals and storage in Nigeria.
  • Stakeholders are not enlightened about major interventions that are ongoing.
  • Unavailability of raw materials for the production of cylinders.
  • Multiple taxation and changes including transportation levies.
  • This causes the price of LPG to go up and will be borne by the end users.
  • Capacity building.

Hence, GACN in its pursuit of business partnership and collaboration always leverages opportunities like this to foster and strengthen its commercial assurances for a stronger agreement, understanding, and engagement.

NIGERIAN WOMEN IN OIL AND GAS CONFERENCE JUNE 2022

The Nigerian Women in Oil and Gas Conference 2022 (the “Conference”) hosted by the Nigerian Content Development and Monitoring Board (NCDMB) was held on Tuesday, 14th June 2022 at the Convention Centre, Eko Hotel, Lagos, Nigeria. The theme was, “Leveraging Opportunities for Women in the Oil and Gas Industry”. In attendance were notable figures in the oil and gas industry in Nigeria including His Excellency Timipre Sylva (Honorable Minister of State, Petroleum Resources), Engr. Simbi Kesiye Wabote (Executive Secretary, NCDMB), Senator Margery Chuba-Okadigbo (NNPC Board Chairperson), and Mrs. Alero Onosode (Chairperson Nigerian Content Consultation Forum Diversity Sectoral Working Group).

Gas Aggregation Company Nigeria Limited (GACN) was represented by General Manager Corporate Services Omosigho Egbon, General Manager Operations Yetunde Odejobi, and Planning and Monitoring Officer Obiageli Anekwe who took advantage of the opportunity to discuss the ever-growing need for a wider diversity with regard to women’s inclusion in strategic positions in the oil and gas sector.

Amongst the number of matters deliberated during the Conference, were:

  • Greater support of the women in organizations in terms of career progression and mentorship;
  • Better accountability in leadership;
  • Ensure the adoption of organizational tasks and targets and ensure monitoring to achieve greater representation;
  • Ensure metrics to measure tasks and targets;
  • Look into recruitment policies to ensure a fair percentage of women are invited to apply;
  • Set up appraisals that are void of any form of bias in the system;
  • Consider the inclusion of flexible working options as a means to stir up motivation;
  • Adopt the mindset of equity and not equality;
  • Adopt better transparency in pay to avoid disparities;
  • Manage unconscious bias;
  • Review organizational structure and culture;
  • Put metrics in place to measure diversity and inclusion; and
  • HR functions to hold Senior Management accountable to ensure policies are in place.

In addition to this, various stakeholders held panel discussions on;

  • Women in Industry Governance;
  • Safeguarding Gender Participation; and
  • Growth Across Board.

These discussions also centered on building effective gender management systems, structures, and processes that promote development, diversity, and inclusion, harmonizing stem initiatives for greater impact, and finally, creating an enabling operating environment for women in oil and gas business; providing opportunities from the Petroleum Industry Act, 2021.

The participation was successful and GACN in show of support of the subject matter will continue to encourage diversity and equity in its work environment as well as noting some key take-home points to further deliberate in the organization.

28TH WORLD GAS CONFERENCE (WGC2022)

The World Gas Conference is the world’s largest, and one of the most significant gas industry events where thousands of industry stakeholders congregate every three years. Gas Aggregation Company Nigeria Limited (“GACN”), in its quest for the promotion of natural gas, attended the 28th World Gas Conference (the “WGC2022”), hosted by the Korean Gas Union in Daegu, Korea. The theme was “A SUSTAINABLE FUTURE – POWERED BY GAS” and was held from Monday 23rd May to Friday 27th May 2022. 23rd of May to the 27th May 2022. With over 9,500 attended consisting of industry stakeholders and professionals including VPs and Heads of Departments, Engineers, and Technical Specialists, Legal and Finance Professionals, this global energy event combined business leaders, experts, and policymakers across the gas industry with the core aim and objective of promoting the role of natural gas.

GACN, represented by the Acting Managing Director, Chijioke Uzoho, took advantage of the opportunity the WGC2022 provided with regard to discussing timely industry-related issues and the global agenda in relation to gas during the WGC2022 and through exclusive network events. Over 300 exhibitors provided a dynamic opportunity for engagements in the gas sector with exhibitors spanning the entire spectrum of the gas sector, covering solution providers, producers, and buyers. The Nigerian oil and gas sector participation in the WGC2022 including Nigeria LNG Limited (NLNG), the Nigerian National Petroleum Company Limited (NNPC), and the Ministry of State for Petroleum Resources (MPR) serves to buttress its significant commitment to the decade of gas revolution.

GACN, with its increased mandate, will continue to support, and take advantage of such events and engagements to place GACN at the forefront of the global energy transition.

NASARAWA STATE INVESTMENT SUMMIT 2022

Gas Aggregation Company Nigeria Limited (“GACN”), a strategic collaborator with the Nasarawa State Government, in its quest for new business initiatives, honoured the invitation to the Nasarawa Investment Summit (the “Summit”) held at Aliyu Akwe Doma Banquet Hall, Lafia, Nasarawa State. The theme was “DIAMOND IN THE ROUGH” and was held on Wednesday, 11th and Thursday, 12th May 2022. The Summit was hosted by the Nasarawa State Government, led by Nasarawa Investment and Development Agency (NASIDA), and aimed at economic development and revitalization to build effective public-private partnerships (PPPs) that allow for long-term private sector participation.

The Summit intends to put Nasarawa State as a top investment destination in terms of accelerated growth, prosperity and increased economic opportunities. In attendance, were public and private sector actors with the collective goal of fostering synergy and partnership with the Nasarawa State Government.

The engagement and collaboration expected outcomes of the Summit include:

  • Enhancing private sector involvement in good governance and policy making;
  • Facilitating and transferring technology to Nasarawa State;
  • Developing effective public and private sector players that will stimulate the economy, with clear developmental effects across the State; and
  • Attracting and showcasing multi-sectoral projects to local and foreign investors in order to facilitate and unlock a sustainable socio-economic development of Nasarawa State.

It is understood that both the new industries and business initiatives showcased at the event as well as the investments that will be attracted to the State, sequel to the Summit, will benefit immensely from the Gas commercialization drive of the State in collaboration with GACN.

The event was graced by the Nigerian Vice-President, Prof. Yemi Osinbajo; as well as dignitaries such as Aliko Dangote, Emir of Lafia, and Sanusi Lamido Sanusi; former governors of Nasarawa State including Senator Abdullahi Adamu and Senator Tanko Al-Makura; John Dramani Mahama (former president of Ghana); and a host of other investment leaders from both the private and public sector.

GACN’S PARTICIPATION IN RMAFC GAS SENSITIZATION “FOLLOW-UP” FORUM IN BAYELSA

Sequel to the gas stakeholder’s sensitisation forum by the Revenue Mobilization Allocation and Fiscal Commission (RMAFC) in Imo state, Gas Aggregation Company Nigeria Limited (GACN), represented by Ruqaiyah Saidu Abubakar and Dantala Wright, attended the second edition of the 2022 gas sensitisation forum (the “Follow-Up Forum”) held at Chief Harold Dappa-Biriye Conference Hall, Golden Tulip Hotel, Onopa Yenagoa, Bayelsa State. The theme was “INSTITUTIONALISATION OF DIVERSIFICATION OF THE ECONOMY USING NATURAL GAS,” and was held from 12th to 14th April 2022.

The Bayelsa State Governor, His Excellency, Senator Douye Diri, represented his Deputy, Senator Lawrence Ewhrudjakpo, commended RMAFC for choosing Bayelsa State to host the Follow-Up Forum as Bayelsa State is one of the highest producers of gas nationwide with over 60% feed gas to Bonny LNG sourced from Bayelsa State. Despite this abundance of gas, and coupled with the challenge of gas flaring particularly affecting farming communities, he concluded that Bayelsa State is yet to adequately benefit from the wealth of its natural resources.

Stakeholders presented papers and gave useful insight on the use of gas as a mainstay for revenue generation. The topics included:

  1. Harnessing the Abundant Gas Resources for Enhanced Revenue Generation by Prof. Festus Awara, University of Calabar;
  2. The Role of Nigerian Gas Marketing Company (NGMC) in Enhancing Domestic Gas Utilisation by Engr Sizah T. Jacob;
  3. GACN as a Vehicle for Gas Supply to the Domestic Market by Dantala Wright; and
  4. Gas Hubs as a Catalyst for the Power Sector Development by Engineer Vice Onyemepu of Zakhem Construction Nigeria Limited.

GACN’s presentation was well received by the participants and concluded with a Q&A session where participants were informed about GACN’s ongoing engagements with projects and key players in Bayelsa State.
